This Agreement shall be governed by the laws of the State of California.

This document constitutes the entire agreement between the parties and supersedes prior discussions or agreements.

Any modifications must be in writing and signed by both parties.

IRS Compliance

Qualified Sponsorship Disclosure

This agreement is intended to qualify as a Qualified Sponsorship Payment under Internal Revenue Code §513(i).

The Sponsor acknowledges and agrees:

• The sponsorship payment is not contingent upon attendance, ratings, or other measures of public exposure.

• The Organization may acknowledge the Sponsor by displaying:

  • Sponsor name

  • Logo

  • Business address

  • Phone number

  • Website URL

  • Tagline or value-neutral description

• The Organization will NOT:

  • Provide comparative or qualitative advertising language

  • Provide pricing information

  • Endorse products/services

  • Include calls to action (“Buy now,” “Visit today,” etc.)

If benefits exceed mere acknowledgment, the Organization will notify Sponsor and disclose the fair market value (FMV) of goods/services provided.

Tax Deductibility Disclosure

The Folx Collective is recognized as tax-exempt under Section 501(c)(3) of the Internal Revenue Code.

The tax-deductible portion of this sponsorship is limited to the excess of the payment over the fair market value of goods and services received by Sponsor.

The Organization will provide a written acknowledgment in accordance with IRS substantiation requirements for contributions of $250 or more.

Activity & Logo Compliance

The Sponsor acknowledges:

• The Organization does not participate in or intervene in political campaigns.

• Sponsorship does not imply endorsement of any political candidate or legislation.

• Sponsor messaging must not contain political advocacy.

Sponsor grants the Organization a limited, non-exclusive, royalty-free license to use Sponsor’s name and logo solely for acknowledgment purposes related to this sponsorship.

Organization retains all rights to its name, branding, and materials.

Sponsor may not use the Organization’s name or logo without prior written consent.

If Sponsor will be physically present at event:

Sponsor shall provide Certificate of Insurance showing:

• General Liability: $1,000,000 per occurrence

• Organization listed as Additional Insured

Any proprietary information exchanged shall remain confidential unless disclosure is required by law.

Either party may terminate this agreement in writing if:

• The other party materially breaches the agreement

• The event is canceled due to force majeure

Neither party shall be liable for failure to perform due to causes beyond reasonable control, including but not limited to:

• Natural disasters

• Government restrictions

• Public health emergencies

Indeminification

Sponsor agrees to indemnify, defend, and hold harmless the Organization, its officers, directors, employees, and volunteers from claims arising from:

• Sponsor-provided materials

• Sponsor negligence or misconduct

• Intellectual property infringement related to Sponsor content

California Compliance

The Organization affirms it is:

• Registered and in good standing with the California Attorney General’s Registry of Charitable Trusts

• In compliance with California charitable solicitation laws

• In good standing with the California Franchise Tax Board

• In good standing with the California Secretary of State

Sponsor affirms compliance with all applicable federal, state, and local laws.
